1. Introduction

These Terms of Service (“Terms”) govern your access to and use of the HayoPay platform, including the website, mobile applications, and all related services (collectively, the “Platform”). By accessing or using the Platform, you agree to be bound by these Terms.

HayoPay is a technology platform that facilitates access to digital payment services. All payment card services accessible through the Platform are provided by licensed financial institutions and regulated card issuers (“Financial Partners”). HayoPay itself does not issue payment cards or hold customer funds.

2. Eligibility

To use the Platform, you must:

• Be at least 18 years of age (or the age of majority in your jurisdiction)
• Be a resident of a jurisdiction where the Platform’s services are available
• Complete the identity verification (KYC) process as required
• Not be subject to any sanctions, embargoes, or restrictions that would prohibit your use of the Platform

Service availability varies by jurisdiction. HayoPay reserves the right to limit, restrict, or deny access to the Platform based on jurisdictional requirements, compliance obligations, or risk assessments.

3. Account Registration and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify HayoPay immediately of any unauthorized use of your account.

HayoPay may suspend or terminate your account if we reasonably believe that your account has been compromised, used in violation of these Terms, or is otherwise involved in suspicious activity.

4. Services

4.1 Digital Wallet

The Platform provides a digital wallet interface for managing funds. Wallet balances are maintained by HayoPay’s Financial Partners. The wallet allows you to view balances, initiate transactions, and track financial activity.

4.2 Identity Verification

All users must complete identity verification before accessing certain Platform features. Verification is conducted through third-party providers and is subject to their respective terms and processing times.

4.3 Payment Card Services

Payment card services are provided by licensed financial institutions. Card issuance, management, and related services are governed by the terms and conditions of the issuing financial institution. HayoPay facilitates access to these services through the Platform.

4.4 Digital Asset Conversion

The Platform may offer the ability to convert between supported digital assets and traditional currencies. Conversion rates are determined in real time and may fluctuate. HayoPay does not guarantee specific rates or availability of conversion services at any time.

5. Fees

Certain services on the Platform may be subject to fees. All applicable fees will be disclosed to you before a transaction is completed. Fee schedules may be updated from time to time, and continued use of the Platform after such updates constitutes acceptance of the revised fees.

6. Prohibited Activities

You agree not to:

• Use the Platform for any unlawful purpose
• Provide false or misleading information during registration or verification
• Attempt to circumvent security measures or access restrictions
• Use the Platform to launder money, finance terrorism, or engage in other illicit activities
• Interfere with the proper functioning of the Platform
• Resell or commercially exploit Platform access without authorization

7. Limitation of Liability

To the maximum extent permitted by applicable law, HayoPay shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Platform. HayoPay’s total liability shall not exceed the fees paid by you to HayoPay in the twelve (12) months preceding the claim.

8. Modifications

HayoPay reserves the right to modify these Terms at any time. We will provide notice of material changes through the Platform or via email. Your continued use of the Platform following such notice constitutes acceptance of the modified Terms.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE.
